This Terms of Service Agreement (this "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", “you”, or "your") and TripHitz LLC (“TripHitz”, “we”, “us” or “our”). This Agreement governs your subscription of Web Design, Web Hosting, Email Hosting, SEO, and other related services provided by TripHitz LLC (the "Services").
You acknowledge that you have read the Agreement, and you agree to its terms and conditions and all policies posted on the TripHitz website (https://triphitz.com). As referred to in this Agreement, the terms "site" and "website" refer to a publicly-available Internet website.
The following terms of service apply to all web design projects and other related services provided by TripHitz to the Client.
It is not necessary for any Client to have signed an acceptance of these terms of service for them to apply and be legally binding. If a Client accepts a quote from us or makes a payment to us, then the Client will have accepted these terms of service in full.
Please read these terms of service carefully. By purchasing or using any of our services you indicate that you have read and accepted this Agreement, and that you will abide by these terms.
Fees for services to be provided by TripHitz are defined in the project quote that the Client receives via email. Our quotes are usually valid for a set period, and each quote will have its own expiration date. We reserve the right to alter or decline to honor a quote after it has expired.
All web design services require an advance payment ("deposit") of a minimum of 50% percent of the project quote total before the project may be scheduled. Deposits are non-refundable.
Final payment for web design work is due immediately upon completion of the project.

Design and Review
We will create a design the template ("look and feel") and functionality of your website ("site"). This Agreement includes a single web design concept plus the opportunity for you to have up two rounds of revisions. If you require additional revisions, you billed at an hourly rate.
The site will be designed to work across all major devices and popular browsers. However, we cannot guarantee compatibility across every single browser out there, as these are being constantly updated.
We will complete and publish your website by the date specified in the project invoice or quote, or by a date agreed when we receive your initial payment. In return, you agree to supply all necessary website content (text, images, and other media) and to delegate a single individual within your organization as the sole contact to collaborate with TripHitz on the project.
Failure to Provide Content
You agree to provide all the required website content (text, images, and other media) to us in advance (before the agreed-upon project start date). On any occasion where we cannot make progress with your website because we have not been given the required content or instructions within the agreed time frame, and the project becomes delayed, we reserve the right to impose a surcharge.
Failure to provide content or instructions to us within 21 days of project commencement will result in the cancellation of your project. No refunds will be issued if your project gets canceled, and any balance remaining will become payable immediately.
Booking Engine Integration
If you requested to have a booking engine or reservation system installed on your site, we will do so when we design your site. We will not provide technical assistance of third-party booking engines beyond initial installation. If you require additional assistance using a third-party booking engine that was installed on your site, you must contact the manufacturer.
Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice. Phone requests for termination of services will not be honored until and unless confirmed in writing.
All TripHitz services may be used for lawful purposes only. You agree to indemnify and hold TripHitz harmless from any claims resulting from your use of our service that damages you or any other party.
The Client retains the copyright to all content, graphics, images, videos, media files and logos provided by the Client, and grants TripHitz a non-exclusive right to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting TripHitz permission and rights for use of the same and agrees to indemnify and hold harmless TripHitz from any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions.
We own the copyright to the markup, CSS files, and other code that may have been used by us on your website, or certain images that we may have supplied for your project. These files have only been licensed to you in connection with this web design project, and will be licensed solely to the domain name on which the website files reside.
A small credit and link with the words "Web Design by TripHitz" or similar will appear at the bottom of the Client's website. The client agrees to preserve the credit and to inform TripHitz in the event that the credit becomes missing at any point. The Client also agrees that the website developed for the Client may be presented in our portfolio.
TripHitz is not responsible for any website alteration caused by a third party occurring after the project is delivered. Such alterations include, but are not limited to additions, modifications or deletions.
These Terms and Conditions supersede all previous representations, understandings or agreements. Your deposit or quote acceptance constitutes a legally-binding agreement to and acceptance of these Terms of Service. Any payment made to us is an acceptance of this Agreement.
This Agreement shall be governed by the laws of the State of Illinois.
TripHitz LLC hereby excludes itself, its Employees and or Agents from all and any liability from any of the following: Loss or damage caused by any inaccuracy; Loss or damage caused by omission; Loss or damage caused by delay or error, whether the result of negligence or other cause while working on the website; Loss or damage to clients' images, and other content supplied for use on the site. Immaterial to whether the loss or damage results from negligence or otherwise.
The entire liability of TripHitz LLC to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the amount paid for the Services under this Agreement in respect of which the claim has arisen.
In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid.
We reserve the right to add, delete, or modify any provision of this Agreement at any time without notice. Failure to receive notification of a change does not make those changes invalid. Please make sure to check back on this page regularly for updates.
